HEAD OF COMPANY SECRETARIAT

 

Location: London Victoria (hybrid model, minimum 3 days in office).

 

Nord Anglia Education is looking to recruit a Head of Company Secretariat to join our Legal team, sat within the Group Central Support.  

 

We are looking for an experienced, confident and energetic individual who will lead the Company Secretarial function, including leading projects to transform the company secretarial function and the provision of expert advice on the Group’s corporate governance, subsidiary management, KYC and transaction support, together with pragmatic, commercial and strategic input into company’s other secretarial matters.

 

The role:

We seek an individual to join as Head of Company Secretariat where your focus will be to:

  • Manage and deliver a programme of improvement to provide a best-in-class company secretarial service.
  • Support the Chief Legal Officer, the Board and its Committees, acting as secretary to committees and other Board meetings as required.  Ensuring the smooth administration of meetings including the production of Board and Committee papers, agendas and minutes and managing and reporting on matters arising.
  • Assisting the Chief Legal Officer with the provision of governance advice and guidance to members of the Board and Committees, ensuring that governance procedures and processes adhere to best practice standards and expectations.
  • Management of, and principal point of contact for, outsourced registered agents and company secretarial service providers across a global portfolio.
  • Managing the transformation of a group-wide framework, ensuring the preparation, compliance, review and release of regulatory announcements and to ensure group companies comply with corporate law and all regulatory requirements.
  • Implementing best in class tools and procedures to improve record-keeping of group company information and the maintenance of an effective global corporate compliance schedule and calendar
  • Responsible for the incorporation of new companies relating to real estate and M&A projects as well as integration of acquired companies for M&A projects.
  • Responsible for company secretarial compliance across the global portfolio (e.g. company forms and directors’ declarations, annual general meetings and filing annual returns).

 

The Successful Candidate will possess:

  • Experience operating at the highest level of a large, multinational group, with experience of both a listed company and a fast-paced private equity backed environments.
  • Excellent team-player, with willingness to help and be flexible.
  • Degree holder.
  • ICSA qualification or equivalent.
  • Extensive post-qualification company secretarial experience.
  • Excellent technology skills, including in relevant software packages such as subsidiary management systems (CSC, Diligent Entities), board portals (e.g. Diligent Board), Microsoft Excel, Word, Outlook, PowerPoint and Visio.
  • High level planning, prioritisation and organisational skills.
